1. Introduction - Cradle’s Commitment to Privacy

Cradle is committed to protecting the privacy of our potential and existing customers. This Privacy Policy applies to all Personal Data (as defined below) processed by us, including where collected or submitted through our platform, websites, mobile applications or through our official social media pages or through other channels online and offline as further described below.

If you cannot, or will not, provide us with the Personal Data we reasonably require, we may be unable to provide you with certain information, goods or services.

Cradle Switzerland AG is the controller for the processing of your Personal Data as set out in this Privacy Policy. Being the controller means that we decide how and why we hold and use your personal information and we are responsible for ensuring that your personal data is processed in compliance with applicable privacy and data protection legislation.

This Privacy Policy explains the information we collect, how we use and share it, and your rights in connection with your Personal Data.

“Personal Data” is information or pieces of information that could allow you to be identified. 

3. Personal Data Cradle may process

We collect Personal Data about you, including information that may directly or indirectly identify you, in different ways, including when you use Cradle’s platform, ask to receive marketing or business-related materials, or participate in our events (collectively the “Services”). The Personal Data we collect may include:

3.1 Account, profile, and use information.

Upon registering to use the Cradle platform, we collect basic account information such as your name, email address, username and password that helps secure and provide you with access to our Services.

3.2 Detailed activity and use information.

We collect this information about how you use the Services generally to improve our products and services.

3.3 Your contact information.

We use your contact information so we can respond to your support requests and comments, and to respond to inquiries about our Services, to send you marketing materials and other business information, and to manage your participation in one of our events.

3.4 Technical information.

We may collect information from your browser, computer, or mobile device, which provides us with technical information when you access or use the Services. This technical information may include device and network information, cookies, log files and other analytics information.

3.5 Other information.

We may also collect information from you through our website or third parties, such as when we collect your feedback through surveys or you sign up for Cradle updates and events. Further, implementation of the Services may involve the use of log files. The information stored in those files includes IP addresses, browser type, internet service provider (ISP), platform type, date/time stamp, and other relevant analytics information. This information is used to analyze trends, administer, protect and secure the Services. IP addresses may be linked to session IDs and device identifiers.

4. Our legal basis for processing your Personal Data

Cradle relies on a number of legal bases to collect, use, share, and otherwise process your Personal Data including:

4.1 as necessary to provide the Services and fulfil our obligations pursuant to any contract under which you are an authorized user. For example, we cannot register your account unless you provide us with basic account information (such as email address, name);

4.2 where you have consented to the processing;

4.3 where necessary to comply with a legal obligation of whatever nature (including any compliance obligations), a court order, to prevent or limited any damages that we might sustain, or to exercise and defend legal claims; 

4.4 where necessary for the purposes of Cradle’s or a third party’s legitimate interests, such as our commercial interests in ensuring the sustainability of the Services; and

4.5 to respond to queries, suggestions and requests. 

5. How Cradle uses your Personal Data

We use Personal Data we collect and receive to:

5.1 Provide the Services.

Which may include providing you with the ability to upload sequences, train machine learning models on your data and analyze results.

5.2 Customise your experience.

For example, we may suggest new features that may interest you. We are processing this data in furtherance of our legitimate business interests  in administering and improving our Services.

5.3 Protect the Services.

For example, we may find and remove accounts that violate our contractual terms.

5.4 Improve our Services.

We are continuously analyzing, developing and improving the Services. To do this, Cradle may use third-party analytics providers to gain insights into how our Services are used and to help us improve the Services. We are processing this data in furtherance of our legitimate business interests to offer you optimal Services.

5.5 Communicate with You.

To provide support in response to your requests and comments. 

5.6 Affiliates and acquirors of our business or assets

We may share your Personal Data with our affiliates, who are required to comply with the terms of this Privacy Policy. If Cradle becomes involved in a business combination, shares offering, bankruptcy, reorganisation, dissolution, or other similar transaction, we may share or transfer your Personal Data in connection with such transaction. If we engage advisors in relation to a potential transaction, they are obliged to comply with the conditions in this Privacy Policy.

We take measures to safeguard the collection, transmission and storage of Personal Data. We employ reasonable protections for your Personal Data that are appropriate to its sensitivity.

We may share your Personal Data with third parties who provide services to Cradle such as supporting, improving, promoting and securing the Services, or processing payments. These service providers only have access to Personal Data necessary to perform such limited functions on our behalf, and are required to protect and secure your Personal Data.

Under applicable data protection laws, you may be entitled to exercise certain rights regarding the Personal Data we hold about you. These rights may include:

8.1 Accessing Your Personal Data:

You may request to see the personal data we hold about you. This may include details such as the reasons for processing your data, who has received it or may receive it, how long we plan to keep it (where possible), the origin of the data if it was not provided directly by you, and whether any automated decisions have been made using your data.

8.2 Correcting Inaccurate Personal Data:

You may ask us to promptly correct or update any personal information that is inaccurate or incomplete.

8.3 Deleting Your Personal Data:

You may request that we delete your personal information in certain situations, for example if it is no longer necessary for the purposes for which it was collected.

You may request that we suspend the processing of your personal information, for example if you want us to verify its accuracy or the basis for processing.

9. Legal requirements

We may also retain, preserve or disclose your Personal Data  if we determine that this is reasonably necessary or appropriate to prevent any person from death or serious bodily injury, to address issues of public importance, to prevent or detect violations of an agreement, or to protect our operations or our property or other legal rights, including by disclosure to our legal counsel and other consultants and third parties in connection with actual or potential litigation.

10. Retention of Information

10.1 Retention period.

We retain Personal Data as long as it is necessary to provide the Services to you and others, subject to any legal obligations to further retain such information. Additionally, We may retain information to comply with the law, prevent fraud, collect fees, resolve disputes, troubleshoot problems, assist with investigations, enforce contractual rights and obligations and take other actions permitted by law. Retained Personal Data will be handled in accordance with this Privacy Policy.

10.2 Aggregation.

Personal Data connected to you that is no longer necessary and relevant to provide our Services may be de-identified or aggregated with other non-personal data to provide insights which are commercially valuable to Cradle, such as statistics of the use of the Services.

11. Transfers

Your Personal Data will only be stored or processed by us or by third parties engaged outside the European Union (and the EEA) if this is in accordance with the applicable regulations (in particular, the GDPR) for the transfer of personal data to countries outside the European Union. This means that we will only pass on your personal data to countries outside the European Union if the European Union has decided that the third country concerned guarantees an adequate level of protection, or if other appropriate safeguards are offered, such as an adequacy decision or the use of standard contractual clauses approved by the European Commission.

12. Limitation of liability

Even though Cradle has taken reasonable commercial steps and efforts to prevent your Personal Data from being accessed, used, intercepted or disclosed by unauthorised individuals in violation of this Privacy Policy, you agree and acknowledge that Cradle cannot fully eliminate security risks associated with your Personal Data. Subject to the terms of any specific services agreement, you expressly acknowledge and agree that uploading, posting, providing, storing, transmitting, sharing and/or allowing access to Personal Data and other information through our website and/or platform and/or other channels, and the use of our Services, are all done at your sole risk and responsibility. You expressly agree and acknowledge that, except to the extent expressly provided for in any services agreements applicable to you, Cradle is not liable for (i) any indirect, consequential, or punitive damages, costs, or liabilities whatsoever arising out of or resulting from your use of our website and/or platform or (ii) any loss, disclosure or use of your Personal Data or other information.

Our Services may include links to third-party websites and/or platforms. Please note that we are not responsible for the content or privacy practices of such third-party sites. We encourage you to be mindful when following any such links and to review the privacy policies of any site that collects Personal Data.

14. Updates to this Privacy Policy 

Our Privacy Policy may change from time to time. Please review it occasionally. If Cradle makes changes to this Privacy Policy, the updated Privacy Policy will be posted in a timely manner and, if we make material changes that significantly reduce your rights, we will provide prominent notice. If you object to any of the changes to this Privacy Policy, you should stop using the Services and, if you have created one, you should delete your account.
